Guild meetings are held on the 2nd Monday of each month starting at 6:30 p.m. Visitors are welcome. A visitor may attend one meeting per year at no charge, except when there is a special program or a guest speaker. At these meetings visitors may be charged not less than $3.00 to attend. We currently have 93 guild members!


Name tags: There is an official Moonlight Quilter's name tag. The
pattern is included in the membership packet. PDF version. The name tag is a pieced crescent moon design which guild members may interpret with their choice of fabric. It is to be sewn, batted, and backed, then attached to a pin on the backside. The member's name may be embroidered or written in permanent ink.

BYLAWS OF MOONLIGHT QUILTERS GUILD (Proposed)

ARTICLE I. – NAME AND ADDRESS

Section 1. The name of this corporation shall be Moonlight Quilters Guild, hereinafter referred to as MQG. MQG shall be a nonprofit corporation organized under Chapter 24.03 of the Revised Code of Washington.

Section 2. The mailing and physical registered office address (for filing with the Secretary of State and all other purposes requiring a registered agent office address) of the corporation for business purposes shall be 6231 Cascade Drive, Ferndale, Washington 98248.

ARTICLE II. – PURPOSE

Section 1. The purpose of MQG shall be to promote the education, sharing and appreciation of quilts and quilting in our community through organizational meetings, quilt shows and retreats for anyone expressing a desire to learn more about quilting. The corporation is organized exclusively for educational purposes stated herein, within the meaning of Section 501(c)(3) of the Internal Revenue Code for the corresponding section of any further tax code.

Section 2. The MQG is authorized as set forth in its Articles of Incorporation to accept gifts of money and property (both real and personal) and to take all other actions authorized by law to carry out its purpose.

Section 3. The MQG shall not have or issue shares of stock, and members of the corporation shall not be liable for guild obligations.

ARTICLE III. – MEMBERSHIP

Section 1. Definition of Active Membership:

Active members of MQG are those members who have paid their membership dues.

Section 2. Description of Active Membership:

Active members have the right to participate in all MQG activities including Board meetings and member-only meetings. Members who have paid their dues in a timely manner, as described herein, shall be included in the yearly roster of members to be published in May of each year.

ARTICLE IV. – MEETINGS

 Meetings of MQG shall be as follows:

A. General Membership Meetings shall occur on the second Monday of each month. General Membership Meetings shall be located in Bellingham, Washington, at a location published in the monthly guild newsletter, and shall consist of business of the guild, a program or speaker and the sharing of quilts and quilting.

B. Board Meetings shall occur quarterly, in March, June, September and December on a date prior to the Guild Meeting at such time and place as is determined by the President on a yearly basis. Notification of Board Meetings shall be published in the Guild Newsletter in February, May, August and November, and sent via mail, email, or fax to the Voting Members no less than fourteen (14) days prior to the meeting date. Board Meetings shall be attended by the Elected Officers, Committee Chairs and any interested members.

C. Committee Meetings shall occur as scheduled in such location as determined by the Committee Chair.

ARTICLE V. – DUES AND FEES

Section 1. Fiscal and Membership Year Designation:

The fiscal year shall be March 1 through the last day of February of the following year. The membership year shall be March 1 through the last day of February of the following year.

Section 2. Dues and Fees:

Annual dues shall be due and payable by the March guild meeting and are delinquent as of the date seven calendar days after the March guild meeting. The dues shall be as follows:

A. $25.00 per year,

B. Dues shall be pro-rated quarterly, reduced to $18.75 from June through August, $12.50 September through November and $6.25 December through February.

C. Dues shall be payable to MQG and delivered to the Membership Chairperson(s) for receipt and recording.

D. Dues are based upon the MQG goals and scheduled programs for the next year beginning in January. Changes to the dues are approved by a simple majority of the MQG body present when the change is proposed for a vote.

Section 3. Additional fees and costs:

Members may be required to pay additional fees as follows:

A. Subscription fee: For delivery of the newsletter via US Postal Service mail at the rate of $12.00 per year to help defray costs of copying and postage. The subscription fee shall be prorated quarterly in the same proportion and for the same time periods as the membership dues.

B. Special Program fee: Unless otherwise stated in advance, all programs are at no cost to members in good standing. From time to time, a small fee may be required to help cover the cost of a special program, or a special program may be offered in addition to the guild meeting at an extra fee.

C. Guests will be charged a fee of $5.00 to attend a guild meeting, unless a special speaker is booked, in which case the fee will be set at the discretion of the Board. The fee will be applied towards membership dues if the guest joins MQG by the following meeting.

ARTICLE VI. – ELECTED OFFICERS OF THE BOARD

Section 1. Designation of Elected Officers:

The elected voting officers of the Board of MQG are as follows:

A. President

B. Vice Presidents of Projects (2)

C. Vice Presidents of Programs (2)

D. Vice Presidents of Retreats (2)

E. Secretary

F. Treasurer

Section 2. Terms of Office:

The terms of office are as follows:

A. The full term of office shall be:

i. President: 1 year

ii. Vice Presidents of Projects: 2 years, on an alternating schedule so that there is always one experienced VP in office with one new VP.

iii. Vice Presidents of Programs: 2 years, on an alternating schedule so that there is always one experienced VP in office with one new VP.

iv. Vice Presidents of Retreats: 2 years, on an alternating schedule so that there is always one experienced VP in office with one new VP.

v. Secretary: 1 year

vi. Treasurer: 2 years

B. An elected officer shall not serve more than two consecutive terms in the same office.

C. All terms shall begin January 1 and run through December 31.

Section 3. Vacancies in Office.

With the exception of President, vacancies shall be filled within 30 days after the vacancy occurs by a majority vote of the Board. In the event the President is no longer able to serve, a then-current Vice President shall be chosen to act as President, and that Vice President’s vacant position shall be filled as stated herein. Vote may be by mail or email.

ARTICLE VII. Duties of Officers

Section 1. Duties of Elected Officers

A. The President shall:

1. schedule and preside at all Board and Guild meetings;

2. arrange for a meeting place in the event that the normal meeting space is unavailable; and

3. be responsible for securing the meeting location at the end of the meeting.

B. The Vice Presidents of Projects shall:

1. coordinate committees to produce guild projects;

2. act, as requested, in the absence or inability of the President to serve; and

3. perform such other duties as assigned by the Board.

C. The Vice Presidents of Programs shall:

1. schedule and coordinate monthly programs for guild meetings;

2. act, as requested, in the absence or inability of the President to serve; and

3. perform such other duties as assigned by the Board.

D. The Vice President of Retreats shall:

1. schedule and coordinate retreats, including securing a location and date as well as attending and overseeing the retreats;

2. maintain accurate financial records of retreat activities;

3. act, as requested, in the absence or inability of the President to serve; and

4. perform such other duties as assigned by the Board.

E. The Secretary shall:

1. keep an accurate record of all guild and Board meetings;

2. provide copies of minutes of meetings to all Board members;

3. produce, or cause to be produced, a monthly newsletter; and

4. perform such other duties as assigned by the Board.

F. The Treasurer shall:

1. keep an accurate record of all guild finances;

2. receive monies from the raffles, membership secretary, and other sources for deposit to the guild account;

3. pay guild bills and make disbursements of funds;

4. perform such other duties as assigned by the Board.

5. produce financial records to the auditor on request.

In the event any elected officer does not perform their duty as herein described, the Board may move to replace them.

ARTICLE VIII. VOTING, NOMINATIONS AND ELECTIONS

Section 1. Voting

A. Guild Officers, consisting of the President, Vice-Presidents, Treasurer and Secretary are the Voting Members of the Guild.

B. Voting on motions brought before the board shall occur at the Board meeting, by telephone, or email .

C. A simple majority of Voting Members, being no less than 5, is required for any vote to pass. If a simple majority of Voting Members, are not present at the Board Meeting, a telephone poll may be made during the meeting to secure votes. If not enough Voting Members are available by telephone, the vote may be taken electronically to avoid delay of action.

D. In the event a Voting Member is aware of their inability to attend a meeting, they may, at their discretion, appoint another member of the guild as their Proxy by notifying the guild President in advance or sending a written note with the Proxy holder to the Board meeting.

E. The Board may, at its discretion, bring items to the Guild Membership for vote by the Guild Membership. Such items may include, but not be limited to, a change in membership dues or formation of new positions.

F. Items put before the Guild Membership for vote shall be presented at a regularly scheduled Guild Meeting. A simple majority of guild members present shall be required to carry a motion. A sound vote (call for Aye or Nay) shall be taken. If the vote is not clear as to results, a hand vote shall be taken. In that event, the President shall appoint two (2) members to count the hand vote.

Section 2. Nominations

A. Nominations for Elected Board Positions shall be made to the President or other Board member by no later than the September meeting date to be included on the printed ballot. Nominations should be made in writing or by email.

B. Nominees shall be contacted by the President to ascertain their willingness to serve before the October meeting.

C. Should a nominee be nominated for more than one position, they should choose which position they would like to run for.

Section 3. Written Ballots

A. A Written Ballot shall be required for election of Officers.

B. Written Ballots shall be prepared by the President based on nominees who accepted nominations by no later than the newsletter deadline date for the November newsletter.

C. Written Ballots shall be included in the November newsletter and may be returned to the President via mail or email, or turned in at the November meeting.

Section 4. Elections

A. Elections for Elected Board Positions are held at the November guild meeting.

B. All positions open shall be voted upon.

C. The election shall be held in writing. The President shall designate a minimum of two members who will count all ballots received by mail, email or in person at the meeting.

D. Results shall be announced at the end of the November guild meeting.

E. In the event of a tie, a re-vote shall be taken.

ARTICLE IX. COMMITTEE CHAIRS:

Section1. Responsibilities:

Committee chairs are elected non-voting positions, and shall be responsible as follows:

A. The Historian shall keep a physical record of guild events and shows.

B. The Webmaster shall receive and post guild information as appropriate on the guild website.

C. The various quilt committees (such as Challenge, Christmas, Round Robins, President’s) shall be responsible for planning and executing quilts or projects as determined by their committees and reporting progress to the Projects Vice Presidents.

D. The Community Service Chair(s) shall be responsible for organizing a committee which will choose a charitable organization and an appropriate project or projects to donate, and reporting progress to the Projects Vice Presidents.

E. The Quilt Show Chair(s) shall be responsible for organizing a committee which will choose a location, date and theme for the bi-annual quilt show, to be held in September of even numbered years, planning and executing the guild show and reporting progress to the Projects Vice Presidents.

F. The Friendship Block Chair(s) shall be responsible for organizing and tracking the friendship block program and shall report progress to the Projects Vice Presidents.

G. The Auditor shall be responsible for reviewing the treasurer’s books quarterly and reporting his or her findings to the President and the Treasurer. The Auditor’s Report shall be included in the next appropriate Board Meeting Minutes. The Auditor shall also review the records of each retreat upon conclusion of the retreat.

H. The Raffle Queen(s) shall be responsible for accumulating and displaying items for the monthly guild raffle. Funds and a monthly report of income from the raffle shall be given to the Treasurer.

I. The Membership Chair shall be responsible for keeping an accurate roster of the guild membership, reporting changes to the Secretary, and welcoming guests and members at the beginning of each guild meeting. The Membership Chair shall also be responsible for keeping new member notebooks updated and available for new members.

Section 2. Terms of service:

A. Each position is a one-year position with the exception of the Friendship Block Committee Chairs, of which there are two 2-year staggered positions, the Quilt Show Committee Chair, which is a 2-year fixed position, and the Webmaster which is a volunteer position to be filled upon vacancy by a qualified member as determined by the then-sitting Board.

B. Members may occupy the same position for no more than two (2) consecutive terms.

C. Members shall come forward or be nominated at the same time and in the same manner as Elected Board Positions. Unless a position has more than one nominee, no election shall be held. If two or more nominees have accepted the nomination, they may choose to co-chair or put the position up for a vote in a similar manner as the Elected Board Positions.

ARTICLE X. FINANCIAL INFORMATION

Section 1. The Guild shall maintain a checking and savings account at Whatcom Educational Credit Union or such other financial institution as the Board may elect.

Section 2. Signers on said account shall be MICHELE BARRIE, SHARON DE GRAVE and the current Treasurer. Each of these signers is authorized individually to pay bills, reimburse members and otherwise conduct business on behalf of MQG.

ARTICLE XI. COMPENSATION

Section 1. No officer, director, or member shall be paid a salary or wage for performance of his/her guild position responsibility. A member may be compensated for providing services or offering lectures or classes for the benefit of the Guild Membership.

Section 2. Any member providing services, such as quilting the Guild Projects, or offering programs, lectures or classes for guild purposes, shall be offered compensation of $50.00. Materials costs may be reimbursed upon presentation of a receipt of purchase and the appropriate MQ Committee Receipt form to the Treasurer.

ARTICLE XII. TERM OF EXISTENCE

The term of existence for the MQG shall be perpetual.

ARTICLE XIII. DISSOLUTION

In the event that MQG dissolves, all remaining funds and/or assets left over after payment of all expenses and debts shall be donated to a non-profit organization as chosen by the then-current Board with similar interest and purpose as defined herein.

ARTICLE XIV. AMENDMENTS

The Bylaws of MQG, in part or in total, may be revisited as necessary and amended by a simple majority of the Members present at the Guild meeting at which the vote is taken pursuant to these By Laws. Any proposed changes will be published in the guild newsletter, discussed at the guild meeting immediately following publication and voted upon at the next scheduled Guild meeting.
